The Wall Street Journal, arguably the most financial publication in the country, if not the world recently devoted and entire page to convince CEOs that honesty is apodictic (“Why CEOs Need to Be Honest With Their Boards”, Jan 14).

In 2006 the SEC investigates more than 100 companies for potential breaches, and in 2007 David Bachedler is appointed Home Depot’s CEO in a clear victory for board critics.

Taking a page from the Coto de Caza corrupt delegate system the SEC voted 3-1 on November 2007 to exclude from proxy statements shareholder nominations for board of directors, leaving shareholders seething. Since 1990, the SEC has argued that companies do not have to include shareholder’s board candidates on annual proxy ballots under Rule 14a-8 of the Securities Exchange Act.

The neoteric Rancho Santa Margarita (RSM) Management Society has the bombastic goal of promoting growing moral and ethical leadership not around RSM, but around the world!

And in Coto de Caza, former CZ board member Joe Morabito continues to ask for the resignation of Mr. Varo from the CZ board “to bring back ethical” management to the CZ Master Association.

Dr. Justin Starren, in a letter to the (WSJ, Jan. 19-20, 2008) editor opines that the SEC should demand all CEO contracts require “absolute and complete honesty”, or else “that little ethical lapse will cost you $10 million…” Do it again and you are outtahere, concluding with the rhetorical question: “If we don’t demand integrity from our most powerful and privileged, how can we expect it from our children?

Perhaps before the RSM Management Society tackles the world, it can start with Coto de Caza to test effectiveness of their adjuvant approach to management?

“MERIT CHARGES HAVE NO MERIT” - MERIT - Recently Coto de Caza Board of Directors Jerry Mezger dared insult Coto de Caza resident’s intelligence by blaming the road certification fiasco on Keystone’s predecessor, consequently neither the Sheriff, nor the CHP are allowed in for pro-active traffic patrol within Coto de Caza: “ Our streets need to be re-certified every five years with a new survey. Vista del Verde’s certification expired in December 2005 without being re-surveyed because no one (no one at Keystone nor any former Board member I’ve talked to) knew they expired on that date. The original certification was done on Merit’s watch and, if they had a tickler file (e.g. like attorneys do for patent fee renewals), it never made it over to Keystone” – Jerry Mezger April 29, 2006.

INTENSIVE VS. PENSIVE PUBLIC SAFETY: COTO DE CAZA Vs. LADERA RANCH - CZ board member, Metzger has characterized the current Coto de Caza traffic patrol as “intensive” – only after the board was coerced into bringing back the CHP – the problem is that since the association has not invested in a tickler file for its service providers, those responsible let road certification expire on all but Coto de Caza Drive – apparently making this road the more intensively patrolled street in the history of Coto de Caza!

Coto de Caza Intruder, Gate Access and the Coto de Caza Budget - Most Coto de Caza residents are now familiar with the intruder taken into custody today, alleged to be a worker at the stables.

The association is spending close to $2,000.000.00/year on private security. Something like $150,000.00 alone for printing of customized passes. The problem is that the community is not getting its money’s worth. The gate access process currently in place is the most liberal we have seen in the last 14 years – perhaps the gates should be open, as Varo/Mezgar have done with Oaknoll/Oakwood gates – much more efficient and anyone can come in and go as they please without bothering anyone, including the gate guards.

Why live in a Gated Community such as Coto de Caza? - According to the conclusion of the international conference on private urban governance, more then half of all new homes in the U.S. are guarded in some way. This might seem like a somewhat extreme reaction on the American anxiety, but the whole trend towards gated communities could actually be a good thing and a revival of the old Greek ideal of the city-state
